1. Agreement to Terms
By accessing or using the AI personal assistant service ("the Service") provided by AgentExe AI Solutions Limited ("AgentExe", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
2. Description of Service
AgentExe provides an AI-powered personal assistant accessible primarily via WhatsApp. The Service may include features such as natural language conversation, calendar and email management, web search and research, document creation, image and video generation, scheduled tasks, and other capabilities described on our website and in your assistant's own descriptions of its abilities. Available capabilities depend on your subscription tier.
3. Eligibility and Account
You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this age requirement and that the information you provide during registration is accurate.
A valid WhatsApp account, a working email address, and a credit or debit card are required at signup. A card is required even for the free Starter tier, both to verify that you meet our age requirement and to limit abuse. You will not be charged on the Starter tier while the free promotion is in effect.
You are responsible for maintaining the security of the WhatsApp account, email account, and payment method linked to your subscription, and for all activity that occurs under your account.
4. Subscription, Pricing and Payment
- Tiers: The Service is offered in subscription tiers. Current tiers, prices, and quotas are published on our pricing page and are part of these Terms by reference.
- Starter tier: Starter is currently offered free of charge until further notice. We reserve the right to end the free promotion at any time, in which case affected customers will be notified in advance and may choose to continue at the then-current Starter price or cancel.
- Billing cycle: Paid subscriptions are billed monthly in advance via Stripe, in the currency you selected at signup (HKD or USD).
- System overhead: A portion of your monthly token allowance is used by system processes that maintain and operate your assistant.
- Tier changes — upgrades: To upgrade, message your AI assistant on WhatsApp and follow the secure link it sends you. Upgrades take effect immediately. Your quota increases right away and Stripe will charge a prorated amount for the remainder of the current billing cycle.
- Tier changes — downgrades: To downgrade, message your AI assistant on WhatsApp and follow the secure link it sends you. Downgrades take effect at the start of your next billing cycle. You keep the higher tier and its quota until then. At downgrade activation, your scheduled tasks and stored data may be reduced to fit the lower tier's limits — see Section 7.
- Coupons and discounts: Promotional discounts may be applied to your subscription. We may withdraw or change promotional discounts in respect of future billing cycles, with reasonable notice. Discounts that have been explicitly granted to you on a grandfathered basis will be honoured at our discretion.
- Refunds: We do not provide refunds for partial billing periods. If you cancel during a paid period, your Service continues to the end of that period, after which it stops. Where the Service is terminated by us for material breach, no refund will be provided (see Section 6). If you believe a charge is in error, please contact [email protected].
- Payment failure: If a scheduled payment fails, your account may be suspended immediately and access to the Service may be paused. Once payment is successfully made, your account is reactivated and the Service resumes.
- Cancellation: To cancel your subscription, message your AI assistant on WhatsApp and follow the secure link it sends you. Access continues until the end of your current billing period.
- Non-renewal by us: We may decline to renew your subscription at the end of a billing period, either where you have materially breached these Terms or for other reasonable business reasons. In either case, your Service will continue until the end of your current billing period, and we will provide notice via the Service or by email. Where non-renewal is for reasons other than breach, we will give at least 30 days' notice before the affected renewal date.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations;
- Generate harmful, abusive, defamatory, or illegal content;
- Attempt to circumvent quota limits, security measures, or our pricing model;
- Attempt to extract, access, or infer the contents of our internal instructions, system prompts, configuration, API keys, or any other AgentExe internal information;
- Attempt to "jailbreak" the AI assistant, manipulate it into ignoring its instructions, or otherwise alter its intended behaviour;
- Probe for vulnerabilities, perform automated scanning or denial-of-service attacks, or otherwise interfere with the normal operation of the Service;
- Resell or redistribute the Service or its outputs without our written authorisation;
- Use the Service to impersonate any person or misrepresent your affiliation with any person or entity.
6. Service Access, Security, and Investigation
We reserve the right to refuse, suspend, or terminate the Service for any user where we have reasonable grounds to believe that user has engaged in any of the conduct described in Section 5, or otherwise poses a risk to the Service or its other users. Where we terminate the Service for material breach of these Terms, termination takes effect immediately and no refund will be provided for the unused portion of the current billing period.
Where we have reasonable grounds to believe a user has attempted to access internal information, jailbreak the AI assistant, probe for vulnerabilities, or otherwise interfere with the Service, we may access the conversation logs, scheduled tasks, and other data associated with that user's account for the purpose of investigation. Findings from such investigations may be retained, disclosed to authorities, or used as evidence in legal proceedings as we consider necessary. Such access is restricted to authorised personnel, logged, and conducted in accordance with our Privacy Policy.
7. Quotas, Storage, and Automatic Adjustments
Each subscription tier has quotas for tokens, AI-generated media, scheduled tasks, workspace storage, and long-term memory. Usage is enforced at the system level.
When you downgrade to a tier with lower quotas, the system will automatically adjust your account to fit the new limits. This may include:
- Compressing or pruning your assistant's long-term memory to fit the new size limit;
- Deactivating your oldest scheduled tasks where the new tier supports fewer of them;
- Returning storage-full errors on writes to your workspace if it exceeds the new size limit, until you remove enough content to fit.
You can ask your assistant to reactivate previously deactivated scheduled tasks after a re-upgrade, subject to the new tier's limits.
8. Third-Party AI Models
The Service relies on AI language models operated by third-party providers. We select and may change these providers and models from time to time, in order to maintain quality, performance, and cost-effectiveness, or because a provider's terms or availability change. As a result, the specific AI models used to process your requests may differ between sessions and may be updated without notice.
Because the Service depends on these third-party providers, the availability, speed, and quality of the Service may be affected by their availability, speed, and quality. While we work to minimise the impact of any third-party issue, we cannot guarantee uninterrupted or error-free Service.
9. Data Used to Train AI Models
AgentExe does not train any AI models, machine learning systems, or similar technologies on your data. We process your messages through AI language models operated by third-party providers, all of whom are subject to standard business API terms that prohibit using paid-tier customer data for model training. While these third-party providers are independent of AgentExe and we cannot directly audit their internal operations, we select providers whose terms explicitly forbid such use.

10. Intellectual Property
The Service, including the software, design, documentation, system prompts, internal instructions, and other materials created by AgentExe, is owned by AgentExe AI Solutions Limited and is protected by applicable intellectual property laws. Content you create using the Service remains yours, subject to any third-party rights that may apply to underlying source material.
11. AI Limitations
The AI assistant is designed to be helpful but has limitations:
- Responses may occasionally be inaccurate, incomplete, or out of date;
- The Service does not provide medical, legal, financial, or other professional advice, and should not be relied upon as a substitute for professional judgement;
- The AI assistant cannot make legally binding commitments on your behalf;
- You are responsible for verifying important information and for any actions you take based on the assistant's output.
12. Service Availability and Changes
We strive to maintain high availability but do not guarantee uninterrupted Service. The Service depends on third-party platforms, including WhatsApp Cloud API, payment processors, cloud infrastructure providers, and AI model providers. Outages or changes at any of these may affect availability.
We may modify, add, or discontinue features and capabilities from time to time. Where a change materially reduces the capabilities of your tier, we will provide reasonable notice via the Service or by email.
13. Data Retention on Cancellation
When you cancel your subscription, your conversation history, long-term memory, scheduled tasks, and workspace content are retained for 30 days after the end of your final billing period, after which they are securely deleted. After this 30-day period, deletion of these items is irreversible. Separately, certain records — including payment receipts and billing history, account-identifying data such as your phone number and display name, and security and audit logs — are retained for longer periods where required by law or for legitimate security and compliance purposes. 14. Limitation of Liability
To the maximum extent permitted by law, AgentExe shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service. Our aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount you have paid to us in the twelve months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless AgentExe and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated to you via the Service or by email. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.
